1. Acceptance of Terms

By accessing or using Scribey ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must stop using the Service immediately.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

2. Service Description

Scribey is an AI-powered audio transcription service. Users upload audio files, which are processed by artificial intelligence to generate text transcriptions.

Key features include:

• Automatic speaker identification (diarization)
• Support for 100+ languages
• Multiple export formats including DOCX, TXT, SRT, and JSON
• Timestamp generation

File upload limits are 500 MB per file and 120 minutes of audio per file.

3. Account Registration & Security

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Account sharing is prohibited. Each account is intended for use by a single individual.

4. Subscription Plans & Billing

Scribey offers the following subscription tiers:

• Free: Limited monthly transcription minutes at no cost
• Starter: $6.99/month (or discounted annual billing)
• Pro: $9.99/month (or discounted annual billing)

Paid subscriptions are billed through Paddle (our Merchant of Record) and renew automatically at the end of each billing cycle unless canceled. Annual plans are billed upfront for the full year at a discounted rate.

If you exceed your plan's monthly transcription quota, overage charges of $0.015 per minute will apply.

Your transcription quota resets at the beginning of each billing cycle.

5. Cancellation & Refund Policy

You may cancel your subscription at any time. Upon cancellation, your subscription will remain active until the end of the current billing period, and you will continue to have access to all features of your plan until that date.

6. User Content & Intellectual Property

You retain full ownership of all content you upload to the Service, including audio files and any resulting transcription outputs.

By uploading content, you grant Scribey a limited, non-exclusive, non-transferable license to process your content solely for the purpose of providing the transcription service to you. This license terminates when your content is deleted from our systems.

You represent and warrant that you have all necessary rights and permissions to upload content to the Service and that your content does not infringe upon any third party's intellectual property rights.

7. Data Processing & Retention

Audio files and transcription outputs are automatically deleted 7 days after transcription is completed. You are responsible for downloading your transcriptions before they expire.

Your files are stored on encrypted cloud storage (Cloudflare R2) and accessed via time-limited signed URLs for security.

8. Third-Party Services

The Service relies on third-party providers to deliver its functionality, including:

• AI transcription engine: Third-party AI service providers for speech-to-text processing
• Cloud storage: Cloudflare R2 for file storage
• Payment processing: Paddle for subscription billing

Scribey is not responsible for the availability, accuracy, or reliability of third-party services. Your use of these third-party services is subject to their respective terms and policies.

9. Acceptable Use Policy

You agree not to:

• Upload content that is illegal, infringing, defamatory, obscene, or otherwise harmful
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools, bots, or scripts to access the Service in an unauthorized manner
• Attempt to overload, disrupt, or compromise the integrity of the Service
• Resell, sublicense, or redistribute the Service to third parties

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without prior notice.

10. Disclaimers

AI-powered transcription is not guaranteed to be 100% accurate. Transcription results are provided for reference purposes and should be reviewed before being relied upon for critical applications.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Scribey does not warrant that the Service will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCRIBEY'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SCRIBEY DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL SCRIBEY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

12. Service Availability

While we strive to maintain high availability, we do not guarantee any specific uptime or service level agreement (SLA).

Scheduled maintenance will be communicated in advance when possible. We reserve the right to modify, suspend, or discontinue the Service at any time.

Scribey shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, or third-party service disruptions (force majeure).

13. Account Termination

You may delete your account at any time through the account settings page.

Scribey reserves the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that could harm other users or the integrity of the Service.

Upon account termination, your data will be deleted in accordance with our data retention policies. Any outstanding overage charges will remain due.

14. Modifications to Terms

Scribey reserves the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on the Service.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms shall first be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

YOU AGREE TO WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
